Often, the exact terms of privacy clubs between the parties are the subject of heated discussions. “External eyes only” privacy clubs (“EEO clubs”) attempt to limit the ring of persons with access to information to external lawyers, lawyers and independent experts of the receiving party (with the exception of directors and employees of the party itself). The disclosing party may propose an EEO-Club because it has very real doubts that the receiving party could obtain an unfair commercial advantage if the confidential information in question were disclosed to it. In some cases, disclosure may even lead to competition issues (e.g.B disclosure of price information in a market where there are very few competitors). .
